<p>Our  Company is incorporated in Delaware but has a physical address in  California. Can we still get a tax exemption certificate ther even if  the owner has another company on the same address in CA?</p>

<div>I&#8217;m not quite sure what your trying to get exemption for so I can&#8217;t answer your specific question.</div>

<div>The address situation is ultimately for the CA Board of Equalization to decide.  I would think that if you just added a Suite A and Suite B to the addresses for the companies you would allow the BOE to be able to distinguish between the addresses for the two companies.  There are many places where businesses are in the same building and use this method to provide different addresses.</div>

<div>Just  as a generally rule, one business entity can not be liable for another  business entities tax liability.  Unless there is some cross mutual  business dealings that links both companies.  For more specifics on this  you would need to consult an attorney.  Since I&#8217;m not one I am  prohibited from giving this type of advice.</div>

<div>The  common rule for sales tax is that if you are purchasing the product to  resale you don&#8217;t have to pay the Vendor sales tax as long as you provide  them with a certificate of exemption.  The Vendor should be able to  provide you the form&#8230; you complete it (be sure to put you CA sale tax  license number on it), return it to the Vendor, they verify the number,  they make a reasonable(good faith) determination that this would be a  type of product that your company would resell, if they determine it is  most likely for resale then they begin selling you their product without  sales tax.</div>

<div>You would then be responsible to  collect any sales tax due when the product is sold and remit it to the  state in the manner they have provided.</div>
<p>&nbsp;</p>
<div>If you  are drop shipping into other states and the Vendor has nexxus within  that state they may have to charge you sales tax since the Vendor is  liable to collect the sales tax for that state if you don&#8217;t have a  license to collect sales tax for the state.</div>
